Student Data Responsibility Agreement

This Student Data Responsibility Agreement ("Agreement") is entered into between you ("Educator," "you") and Raising Readers with Elise, LLC ("we," "us"). It governs your entry and handling of information about students ("Student Data") within LitTrack (the "Service"). It supplements our Student Data Privacy Policy, School & District Data Agreements, Privacy Policy, and Terms of Service. Where this Agreement conflicts with the Terms with respect to Student Data, this Agreement controls.

1. Your Authority to Enter Student Data

You represent and warrant that, for every student whose information you enter into the Service, you have the legal authority to do so and have obtained any consent required under applicable law (including FERPA, COPPA, state student data privacy laws, and any school- or district-level policies). You will not enter Student Data on behalf of a school or district that requires a signed Data Processing Addendum until that DPA is in place.

2. Data Minimization

You agree to enter only the minimum information necessary for instructional use. Specifically, you will not enter into the Service any of the following about a student:

  • Social Security numbers or government-issued identifiers
  • Home addresses or precise geolocation
  • Medical or mental-health diagnoses beyond general instructional notes
  • Biometric identifiers
  • Financial account information
  • Any information about a student that is not relevant to your instruction

3. Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • Using a strong, unique password and not sharing it
  • Signing out of the Service on shared or public devices
  • Promptly notifying us of any suspected unauthorized access to your account
  • Managing which parents you invite via the parent-invite feature, and revoking access when appropriate. Parent invitation links expire after 7 days, are single-use, and are invalidated immediately upon redemption or upon revocation. Once activated, a parent signs in with normal authenticated credentials.

4. Assumption of Responsibility

You acknowledge that LitTrack is a tool provided to you, and that you— not Raising Readers with Elise, LLC—are the party responsible for the Student Data you choose to enter, retain, share with invited parents, or export from the Service. To the maximum extent permitted by law, you assume all responsibility for:

  • Determining what Student Data is appropriate to enter
  • Obtaining any parental, school, or district consent required
  • Notifying parents, guardians, schools, districts, or regulators of any incident affecting Student Data you entered, to the extent required by your own legal, contractual, or professional obligations
  • Your compliance with FERPA, COPPA, and applicable state student data privacy laws

5. Security and Incident Notification

We maintain commercially reasonable safeguards as described in our Student Data Privacy Policy. No system is 100% secure, and we do not guarantee that Student Data will never be subject to unauthorized access. If we confirm an incident involving Student Data in our custody, we will notify you without unreasonable delay in accordance with the Student Data Privacy Policy. You are responsible for downstream notifications to affected parents, guardians, schools, districts, and regulators as required by your own obligations.

6. Indemnification

You agree to defend, indemnify, and hold harmless Raising Readers with Elise, LLC and its members, officers, employees, and agents from any claim, loss, damage, liability, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your entry, retention, sharing, or export of Student Data; (b) your failure to obtain any required consent; (c) your violation of this Agreement, the Terms, or applicable law; or (d) unauthorized access to Student Data resulting from a compromise of your account credentials that was not caused by our gross negligence or willful misconduct.

7. "As Is" Service

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure against all threats.

8. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability to you arising out of or relating to this Agreement or the Service is limited to the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred United States dollars (USD $100), whichever is greater. We will not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

You may terminate this Agreement at any time by closing your account. We may suspend or terminate your access if you violate this Agreement. Termination does not relieve either party of obligations that by their nature survive termination (including Sections 4, 5, 6, 8, and 9).

10. Changes to this Agreement

We may update this Agreement from time to time. Material changes will require re-acceptance the next time you sign in. Your continued use of the Service after accepting an updated version constitutes agreement to the updated terms.
